Contributor License Agreement
Thank you for your interest in contributing to this project. This agreement explains what happens to the work you contribute, and protects both you and the project as the work grows. Please read it before you submit any work, and reach out to us first if anything is unclear.
By submitting a contribution, whether that’s art, animation, code, writing, sound, voice work, or anything else, you agree to the terms below.
1. Definitions
“Contribution” means any original work you submit to Seraph Interactive, Inc. (the “Organization”) for possible inclusion in the project, in any form, including but not limited to artwork, 3D models, code, scripts, written material, audio, or performances.
“Project” refers to the animated feature and any related creative works produced by the Organization, currently under the working codename Project Crafted.
2. You keep your authorship
You retain authorship credit for your work. Nothing in this agreement takes away your right to be recognized as the creator of what you contributed, and we intend to credit contributors clearly in the finished project unless you ask us not to.
3. What you’re granting us
By submitting a Contribution, you grant Seraph Interactive, Inc. a worldwide, royalty free, irrevocable license to use, reproduce, modify, adapt, publish, distribute, and create derivative works from your Contribution, as part of the Project and its promotion, distribution, and any related materials.
If the Organization ever needs full ownership of a specific Contribution for legal or production reasons (for example, to clear a copyright question or finalize distribution), we may ask you to sign a separate, specific assignment for that piece of work. This agreement alone does not transfer full copyright ownership away from you unless we both sign something more specific saying so.
4. Your promises to us
By submitting a Contribution, you confirm that:
- The work is your own original creation, or you have full rights to submit it
- Your Contribution doesn’t knowingly infringe on anyone else’s copyright, trademark, or other rights, including assets, textures, or characters belonging to other games, companies, or franchises
- You have the legal right to enter into this agreement, and if you’re a minor, that a parent or guardian has reviewed and consented to this on your behalf
- You haven’t already granted rights to this same work that would conflict with this agreement
5. No compensation
Contributions to this project are voluntary. Unless we’ve agreed to something different with you in writing, you won’t receive payment for your Contribution. This may change for specific paid roles as the project grows, in which case a separate written agreement will apply to that work.
6. Confidentiality and spoilers
Some parts of the project, particularly story details, are kept restricted to protect the experience for future audiences. If you’re given access to story materials, shot briefs, or other confidential project information, we ask that you keep that information private and not share it publicly or with anyone outside the project, unless it’s already been made public by the Organization.
7. Code of conduct
All contributors are expected to follow the project’s code of conduct in their interactions with other contributors and community members. Violating the code of conduct may result in removal from the project and the end of your ability to contribute further work, though rights already granted under this agreement for past Contributions remain in effect.
8. Withdrawal
You can stop contributing to the project at any time by letting us know. Contributions you’ve already submitted and licensed under this agreement remain licensed to the Organization as described above, since the finished film may already depend on that work. If you’d like to discuss removing a specific past Contribution, contact us and we’ll talk it through in good faith, though we can’t guarantee removal once work has been built upon.
9. No obligation to use your work
Submitting a Contribution doesn’t guarantee it will be used in the final project. The Organization retains creative discretion over what is included.
10. Governing law
This agreement is governed by the laws of the State of Wyoming, without regard to conflict of law principles.
11. Agreement
By submitting a Contribution after receiving this agreement, you confirm that you’ve read, understood, and agree to these terms.
